TERMS OF SERVICE
Acceptance of Terms
The services CoCoon – Borntofly Limited (“us, “we”, or “CoCoon”) provides to you the undersigned, are subject to the following Terms of Service.  CoCoon reserves the right to update these Terms of Service at any time. CoCoon is only to be used for the member’s lawful business purpose.

Deposit
You agree and undertake to maintain a deposit during the membership period as a security against outstanding fee, liabilities, miscellaneous charges and other breaches of obligation.

Description of Services
CoCoon may provide you with access to office space, workstations, internet access, office equipment, conference space, knowledge resources, and other services as CoCoon may provide from time to time ( collectively, “Services” ).  . 

Prohibited Use
You may not use the Services for any unlawful purpose. You may not use the Services in any manner that could damage, disable, overburden, or impair any CoCoon server or network, or interfere with other users’ use and enjoyment of the Services. You may not attempt to gain unauthorized access to any Services.

Confidentiality
CoCoon is an open and collaborative environment. As a result, users of the space overhear conversation that include proprietary of non-public information. We strongly encourage a mutual respect between all members of the space in regard to privacy and confidentiality, but we do not maintain non-disclosure agreements. While we will attempt to provide accommodations for private meetings, we make no guarantee as to the actual privacy of any space facilities. You are solely responsible for taking appropriate precautions.

Disclosure
CoCoon reserves the right to disclose information about you, including your participation in and use of the Services, as CoCoon deems necessary to satisfy any applicable law, regulation, legal process or governmental request. 

Intellectual Property
CoCoon makes no claim of intellectual property rights over any material or idea produced or developed using the Services. Your work is your own.

Disclaimer of Warranty and Liability
CoCoon provides the Services on an “as is” and “as available” basis, without warranty. CoCoon try to live up to our promise of being “a nicer place to work”, but cannot guarantee that the Services will meet your specific requirements or expectations, or that the Services will be uninterrupted, timely, or error-free. CoCoon reserves the right to make any adhoc arrangement in the usage of space and opening hours for CoCoon annual events and maintenance services. You agree that CoCoon shall not be liable for any damages you incur resulting from the use or inability to use the Services. Your use of the Services is at your sole risk. We shall not be under any liability whatsoever to the member or any other person whomsoever in respect of any loss and damage to persons or property sustained by the member or any such other person caused by or through or in any way owing to the suspension or poor service of any courier, electricity, water, telephone, broadband internet supply.

Indemnification
You agree to indemnify and hold CoCoon harmless from all claims in connection with your use of the Services.

Dispute Resolution
Any controversy or dispute relating to these Terms of Service shall be settled by binding arbitration in Hong Kong.

Severability
In the event that any portion of these Terms of Service is determined to be unenforceable for any reason, the remaining provisions of these Terms of Service shall be unaffected. 

​Account termination
If you fail, or if we suspect that you have failed, to comply with any of the provisions of these Terms, or at any other time when we in our reasonable discretion see fit to do so, we may, at our sole discretion, restrict your access to your account and the Services and/or terminate your account with immediate effect and possibly without prior notice to you. In addition, we may decline to renew your subscription for any or all Services at the end of your subscription period for any reason or for no reason. You will remain liable for past due amounts.
